By accessing this website, you confirm that you are a high net worth company or investment professional, and that you are permitted under applicable law to access the information and services described herein.
Cypator may suspend or restrict access to the Website if required for compliance with Applicable Laws, regulatory requests, or investigations.
Subject to these Terms, Cypator grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Website and Services for your personal or internal business purposes only. Access to Cypator’s services in the UK is limited to high net worth companies and investment professionals as defined by the UK Financial Conduct Authority. Cypator disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Website will be uninterrupted, error-free, or secure.
IN NO EVENT SHALL THE TOTAL LIABILITY OF CYPATOR, ITS DIRECTORS, OFFICERS, EMPLOYEES AND/OR AGENTS, TO ANY USER, AND/OR ANY THIRD PARTY, FOR ALL DAMAGES EXCEED THE GREATER OF (I) ONE HUNDRED U.S. DOLLARS (USD $100) OR (II) THE FEES PAID BY USER (IF ANY) TO CYPATOR IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.
You agree to indemnify, defend, and hold harmless Cypator, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including attorney’s fees) arising from your use of the Website or Services, or your violation of these Terms.
The Website, Services, and all associated intellectual property rights are and shall remain the exclusive property of Cypator or its licensors. Nothing in these Terms grants you any rights in or to such intellectual property except for the limited license expressly granted herein.
Cypator may suspend or terminate your access to the Website at any time, with or without cause. Termination or suspension may also occur if Cypator determines, in its sole discretion, that your use of the Website may violate Applicable Laws or expose Cypator to legal liability.
These Terms shall be governed and construed in accordance with the substantive laws of the State of Delaware, USA, without reference to its conflicts of laws principles.
Binding Arbitration. Any dispute, controversy, or claim arising out of or relating to these Terms, the Website, or the Services shall be finally resolved by binding arbitration under the Rules of the American Arbitration Association (AAA). The arbitration shall be conducted in English, seated in New York, New York, before a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.
Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.
If you contract with Cypator ApS, mandatory provisions of Danish consumer protection and financial regulations may apply, in which case these Terms shall be interpreted accordingly.
Cypator ApS is registered with the Danish Financial Supervisory Authority (FSA) as a Virtual Asset Service Provider. This registration does not imply approval of the services provided. Clients contracting with Cypator ApS will be bound by these Terms in addition to any mandatory provisions of Danish law.
Electronic Communications. You consent to receive notices, disclosures, and other communications electronically, whether by posting on the Website or by email.
Force Majeure. Cypator shall not be liable or deemed in breach of these Terms for any delay or failure in performance resulting from acts beyond its reasonable control, including acts of God, natural disasters, pandemics, labor disputes, cyberattacks, power outages, government action, or failures of third-party providers.
Entire Agreement. These Terms constitute the entire agreement between you and Cypator with respect to your use of the Website.
Severability. If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Waiver. The failure of Cypator to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Assignment. You may not assign or transfer these Terms without Cypator’s prior written consent. Cypator may assign these Terms without restriction.
No Third-Party Beneficiaries. Nothing in these Terms shall create any rights for any person other than you and Cypator.
Changes. We may modify these Terms at any time by posting the updated version on the Website. Your continued use of the Website or Services following any such changes constitutes acceptance of the revised Terms.
